Terms of Service

These terms apply to the use of Smart Battery Pass by businesses. Smart Battery Pass is intended exclusively for entrepreneurs and business customers.

1. Provider and subject matter

The provider is Smart Battery Pass Grigor Azati Muradyan, Irma-Keilhack-Ring 25, 22145 Hamburg. Smart Battery Pass is a B2B SaaS application for EU Battery Passport readiness workflows, including battery models, required data, supplier requests, evidence documents, review processes, audit logs, passport previews, QR codes and reports.

2. No legal or compliance guarantee

Smart Battery Pass supports readiness, data coverage, evidence management and internal review workflows. It does not replace legal, technical or regulatory assessment. No guarantee is given that a battery model, document set or passport is legally fully compliant.

3. Contract conclusion, trial and plans

Contracts may be concluded online, by quote, by email or by individual agreement. Plans may be billed monthly or annually. A trial may be offered. After a trial or when choosing a paid plan, the agreed prices, limits and payment terms apply.

4. User accounts and organizations

Customers are responsible for managing users, roles, access rights and organization settings. Credentials must be kept confidential. Customers must notify Smart Battery Pass without undue delay if misuse or a security incident is suspected.

5. Supplier Portal

Suppliers may submit data and documents through token links. Customers are responsible for sharing tokens only with authorized recipients and for reviewing submitted data. Suppliers do not receive permanent user accounts in the MVP.

6. Customer data and content

Customers remain owners of their data and are responsible for accuracy, legality, completeness and the necessary rights to uploaded data and documents. Smart Battery Pass may process customer data as required to provide, secure, bill and support the service.

7. Prohibited use

Illegal content, malware, circumvention of access controls, attacks on infrastructure, abusive mass uploads, infringement of third-party rights and non-agreed high-risk or safety-critical uses are prohibited.

8. Availability, maintenance and support

Smart Battery Pass aims to provide stable operation. Maintenance, security updates or incidents may temporarily limit availability. Specific service levels apply only if individually agreed. Support requests may be sent to contact@smartbatterypass.com.

9. Fees, payment and Stripe

Payments may be handled through Stripe or by individual invoice. Stripe processes payment data as a payment service provider. In case of payment delay, Smart Battery Pass may restrict new write actions, supplier requests or passport publishes; existing data remains readable within the contract scope.

10. Term and termination

Monthly plans may be terminated at the end of the current billing period, annual plans at the end of the agreed annual term. Individual enterprise contracts may contain different terms and notice periods. Termination for good cause remains unaffected.

11. Privacy and data processing

Personal data is governed by the Privacy Policy, Data Processing Addendum and Subprocessor list. Where the customer acts as controller, Smart Battery Pass processes customer data as processor.

12. Liability

Smart Battery Pass has unlimited liability for intent, gross negligence and injury to life, body or health. In case of simple negligence, liability is limited to breach of material contractual obligations and to typical foreseeable damage, to the extent legally permitted.

13. Changes

Smart Battery Pass may update these terms if required due to product development, changes in law, security or operational requirements. Material changes will be communicated to customers with reasonable notice.

14. Governing law and venue

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For merchants and businesses, Hamburg is the venue to the extent permitted by law.
